1.Name and Objectives
=====================
1.1 The club shall be known as Dundalk Cricket Club
1.2 The objective of the Club shall be to obtain and then maintain for its members a ground and facilities
    for the playing of cricket and generally to promote the game in the greater Dundalk / Co.Louth area.

2:Membership
============
2.1 There shall be two classes of membership.
2.1.1. Ordinary. An ordinary member must be at least16 years of age and will be eligible to play
       for the Club and may vote at a General meeting.
2.1.2. Juvenile. Must be under 16 years of age and are eligible to play cricket for the Club but
       may not vote at a General meeting.
2.2. All members shall be bound by the rules of the Club. The committee shall have the power to suspend or
     expel any member it deems to have acted in a manner prejudicial to the interest of the Club. No member
     shall, however, be suspended or expelled without being given due notice of the reasons for his/her suspension
	 or expulsion and will be given an opportunity to be heard by the Committee prior to any decision on the
	 part of the Committee to suspend or expel the member for said reasons.
2.3. Applicants for admission as an Ordinary or Juvenile member of the Club must submit a Membership Application
     Form. The applicant must be proposed and seconded by two Club members, at least one of whom must be an
     Ordinary member. The applicant may then be elected as a member of the Club by a simple majority ballot of the Committee.
2.4. Membership fees for all members shall be fixed annually at the AGM and shall cover
     the period January 1st to December 31st.

3:Management Structure
======================
3.1. The business and affairs of the Club shall be under the management of the Committee consisting of four Officers:-
     Chairperson, Vice-Chair, Secretary and Treasurer and six other Committee members.
3.2. Only Ordinary members are eligible to serve as Officers of the Club. All members are eligible to serve on the Committee.
3.3. An Officer may serve for a maximum of five consecutive years in the same office.
3.4. A quorum for a Committee meeting shall be six, of whom at least two shall be Officers of the Club.
3.5  Minutes shall be kept in proper books, of all resolutions and proceedings of the Committee and each minute signed
     by the person presiding at the following meeting.These minutes shall be sufficient evidence of the matters referred to therein.
3.6. The Committee may form sub-committees to assist in the management of the Club as they see fit. The Chairperson of
     each sub-committee must also be a member of the Committee.
3.7. A Committee member who fails to attend five successive committee meetings may be replaced at the discretion of the Committee.
3.8. Only the Chairperson, Treasurer and Secretary are authorised to sign Club cheques. At least two signatures are
     required on all Club cheques.

4:Meetings
==========
4.1 The Committee shall meet at least once a month and an AGM shall be held each year in January.
4.2 A Special Meeting of the Club shall be summoned by the Secretary whenever directed by the Committee to do so, or on
    receipt of a request for a meeting signed by at least one third of the Ordinary members. No other business shall be
    transacted at a Special Meeting except that appearing on the agenda. The date, time and location of the Special
	meeting shall be notified to all Ordinary members within seven days of such a directive or request.
4.3 The quorum for a Special meeting shall be one third of the Ordinary members.
4.4 The business of the AGM shall be as follows:-
4.4.1. The minutes of the previous AGM shall be read.
4.4.2. Matters arising shall be discussed. The minutes shall be proposed, seconded and signed by the person presiding.
4.4.3. The Secretary shall submit an annual report
4.4.5. The Treasurer shall submit an annual statement.
4.4.6. Election of Officers and Committee for the coming year.
4.4.7. Discussion of other items on the agenda.
4.4.8. Membership fees for the coming year shall be set.
4.4.9. A.O.B.
4.4.10. The meeting shall determine if a secret ballot is required for either the election of Officers and
        committee or on any other motion before the AGM

5:Intoxicating Liquor, Addictive/Banned Substances and Ethics for Children
==========================================================================
5.1 No alcoholic liquor shall be sold or supplied by the Club on its grounds.
5.2 The Club supports the Anti-Doping Policy as laid down by the Irish sports Council and Cricket Ireland.
    Any member, player or official, contravening the conditions of the Anti-Doping policy shall be liable to
    disciplinary action in accordance with the provisions of that policy's contravention.
5.3 The Club supports the Code of Ethics and Good Practice for Children's sport in Ireland. Any member, player
    or official contravening this code will be liable to disciplinary action as specified in the code of ethics and Good Practice.

6: The Constitution
===================
6.1 The Constitution cannot be amended except at a General Meeting -provided at least fourteen days notice of the
    proposed amendment has been given.
6.2 At least two thirds of members present and entitled to vote must support any amendment to the Constitution in order to be valid.
6.3 On acceptance, the amendment shall become part of the Constitution.

7: Income and Property
======================
7.1 The income and property of the Club shall be applied solely towards the promotion of its main objectives as outlined
    in this Constitution. No portion of the Club's income and property shall be paid or transferred directly or indirectly
    by way of dividend, bonus or otherwise by way of profit, to members of the Club. However, nothing shall prevent any payment
    in good faith by the Club of reasonable, and properly vouched, out-of-pocket expenses incurred by any Officer or designated
    member in any matter affecting the Club.

8:Winding-up
============
8.1 If upon the winding up or dissolution of the Club there remains, after the satisfaction of all its debts and liabilities,
    any property whatsoever, it shall not be paid to or distributed among the members of the Club. Instead, such property shall
    be given or transferred to some other institution/s having main objectives similar to the main objectives of this Club.
    Ordinary members of the Club shall select the relevant institution/s at or before the time of dissolution.
